When the general partner dies: the heir is owed the value of the interest, not a vote

Avv.

The partner who ran a limited partnership dies. One of the two heirs does not want to join and asks to be paid out; the other, who stayed in, converts the company into a limited liability company alone, on the last available day. The Court of Bologna upholds the conversion and grants the heir liquidation of the interest, but calculated as the articles provided: without goodwill. On the figures of the case, the difference is worth about seventy thousand euro.

The case: one death, two heirs, six months

Guernelli).

The general partner, holding 99% of the company, dies and by will leaves the interest in equal shares to his wife and his son. The wife states repeatedly that she does not wish to join and asks the other to choose among the routes in art. 2284 of the Civil Code. The son buys the 1% held by the limited partners and, as the only remaining member, resolves to convert the partnership into a limited liability company on the last day of the six months after the death; he then offers the widow 52,000.00 euro. She challenges the conversion as non-existent or void and claims liquidation of the interest and damages. The Court of Bologna, specialised business section, decides in judgment no. 188 of 26 March 2026 (Guernelli, President and reporting judge).

The principle: the relationship dissolves, not the company

Under arts. 2284 and 2315 of the Civil Code, the death of a partner dissolves the partnership relationship as to the deceased partner only. In practice, the interest does not pass to the heirs the way a building would. For an heir to become a partner, two consents are required: that of the surviving partners and that of the heir. Failing that, the heir retains a monetary claim: liquidation of the interest under art. 2289, subject to a different and valid provision in the articles.

What is inherited is the value of the interest, not a seat in the company: taking that seat requires the consent of those already there.

La trasformazione decisa da uno solo regge

A conversion decided by one member alone stands

An heir who has not become a partner has no vote, and her absence does not vitiate the resolution. The Court upheld the conversion decided by the son, the only member entitled to vote: a limited partnership has no corporate bodies and no extraordinary meeting to convene, and a majority calculated on the share of profits is enough (art. 2500-ter of the Civil Code). Taken within the six months, the resolution also avoided dissolution for failure to restore a plurality of members. The damages claim therefore failed; and the claims against the son personally were inadmissible, since as a limited partner he is liable only up to his contribution.

Here lies the least intuitive angle. The widow saw the conversion as a threat and spent the case trying to overturn it. The Court notes the opposite: the converted company continues all the relationships of the former one, the liquidation debt survives and so does the debtor. For an heir who wants to be paid, a company that survives is often better security than one dissolved and in liquidation. The real lever was not the vote (which she did not have) but the claim: and that is where the case was decided.

The clause excluding goodwill and interest: how far it holds

The second issue is money. Many family-business articles contain a clause which, on liquidating the interest of an outgoing or deceased partner, excludes interest and goodwill and provides for payment in instalments. The Court treats it as valid, being a matter of disposable financial rights, with two express limits: the payment must not be merely symbolic or derisory, and must not breach the prohibition on leonine arrangements. Here the articles provided for five half-yearly instalments over two years, without interest and without goodwill. The court-appointed expert valued the deceased’s interest at 274,290.57 euro without goodwill and 414,833.07 euro with it: the Court applied the first figure, not a derisory one, and the widow was awarded 137,145.28 euro, reduced to 87,367.84 euro after set-off against a claim the company had against the deceased (plus interest and revaluation from the two-year deadline set by the articles).

A second angle usually escapes whoever drafts the articles. A clause compressing the value of the interest is introduced to protect the business against a departing partner; but it is a rule that is bilateral over time, and one day it will apply to the person who wanted it, or to that person’s children. Anyone proposing it should read it, for a moment, from the departing side: if it looks acceptable from there, it will probably hold in court too.

The real risk is the clause that looks most generous

In practice the choice lies between two routes. First: the articles are silent, and the statutory rule applies: the heirs stay out and are paid off. Second: the articles provide for continuation with the heirs, a clause presented within the family as the most affectionate and which, in a limited partnership, is in fact the most treacherous: it brings into the company people nobody chose, and may place them in the general partner’s position, with unlimited liability for obligations they never helped create. In most cases the preferable reading appears to be the first, coupled with a well-drafted liquidation criterion and the funding to make it sustainable.

A third aspect deserves attention, because it moves the problem from company law to cash. Keeping the heirs out means having to pay them, and the liquidation debt arises just as the business has lost the person running it. That is precisely what an instalment clause is for; but a key man policy held by the company, or a cross-purchase agreement between the partners, does the same job without forcing the family to negotiate prices in the weeks of bereavement.

Come intervenire
What to do

Quattro verifiche sullo statuto, prima che serva

Four checks on the articles, before they are needed

(1) Read what the articles say about a partner’s death: if silent, the heirs stay out and acquire a claim. (2) Check the liquidation criterion: instalments and the exclusion of goodwill and interest are permissible, but not to the point of making the value derisory. (3) In a limited partnership, decide in advance who succeeds to management: without a general partner the company has six months to replace him or change form, and in the Bologna case the last day was needed. (4) Pair the clause with the funding that makes it payable: insurance, a cross-purchase agreement, or a payment plan agreed in advance.

Generational transfer in a partnership is decided on the day the articles are drafted, long before the funeral. The Bologna ruling confirms that the law already gives an answer, and a clear-cut one; the question is whether that answer is what the family actually wanted.
