Nella pratica d’impresa capita spesso di sottoscrivere una garanzia contenente la clausola «a prima richiesta» dando per scontato che quella formula sia sufficiente a renderla una garanzia autonoma. Oppure, al contrario, di considerarla una normale fideiussione, senza attribuire particolare rilievo a quella previsione.
In business practice it is common to sign a guarantee containing an “on first demand” clause, assuming that this wording alone is enough to make it an autonomous guarantee. Or, conversely, to treat it as an ordinary suretyship, giving that provision no particular weight.
Una recente sentenza della Corte d’Appello di Catania offre l’occasione per ricordare un principio importante: non è la singola formula utilizzata a determinare la natura della garanzia. Occorre verificare il contenuto complessivo del contratto e la volontà concretamente espressa dalle parti.
A recent judgment of the Court of Appeal of Catania is an occasion to recall an important principle: it is not the single wording used that determines the nature of the guarantee. One must examine the overall content of the contract and the intent actually expressed by the parties.
La distinzione non è soltanto teorica. Qualificare una garanzia come fideiussione o come contratto autonomo di garanzia può cambiare radicalmente la posizione del garante e del creditore nel momento in cui viene richiesto il pagamento.
The distinction is not merely theoretical. Qualifying a guarantee as a suretyship or as an autonomous guarantee can radically change the position of the guarantor and of the creditor when payment is demanded.
Due garanzie che possono sembrare simili, ma funzionano in modo diverso

Quando un’impresa richiede una garanzia a copertura di una fornitura, di un appalto o di un’altra obbligazione contrattuale, nel testo compaiono frequentemente espressioni come «a semplice richiesta» o «a prima richiesta».
When a business requests a guarantee to cover a supply, a contract works agreement or another contractual obligation, the text frequently contains expressions such as “on simple demand” or “on first demand”.
Il creditore tende a leggerle come una promessa di pagamento immediato. Il garante può invece ritenere di avere assunto un’obbligazione sostanzialmente analoga a quella derivante da una normale fideiussione.
The creditor tends to read them as a promise of immediate payment. The guarantor, instead, may believe it has taken on an obligation essentially similar to that arising from an ordinary suretyship.
Il problema emerge, normalmente, soltanto al momento dell’escussione.
The problem normally emerges only at the moment the guarantee is called.
Nella fideiussione, infatti, l’obbligazione del garante è accessoria rispetto all’obbligazione principale e, in linea generale, il fideiussore può opporre al creditore le eccezioni spettanti al debitore principale, secondo quanto previsto dall’art. 1945 c.c.
In a suretyship the guarantor’s obligation is accessory to the main obligation and, as a rule, the surety may raise against the creditor the defenses available to the principal debtor, as provided by art. 1945 of the Civil Code.
Nel contratto autonomo di garanzia, invece, l’obbligazione del garante è svincolata dal rapporto di base e le eccezioni relative a tale rapporto non sono normalmente opponibili al beneficiario, fatti salvi i limiti elaborati dalla giurisprudenza, tra i quali assume particolare rilievo l’exceptio doli in presenza di un’escussione abusiva o fraudolenta.
In the autonomous guarantee, by contrast, the guarantor’s obligation is detached from the underlying relationship and the defenses relating to that relationship are normally not enforceable against the beneficiary, subject to the limits developed by case law, among which the exceptio doli is particularly relevant where the call is abusive or fraudulent.
La differenza, quindi, è concreta: riguarda ciò che il garante può contestare quando gli viene chiesto di pagare.
The difference, then, is concrete: it concerns what the guarantor can dispute when asked to pay.

La Corte d’Appello di Catania, Sez. I, con sentenza 14 luglio 2026, n. 1098, ha ribadito che la presenza di una clausola di pagamento «a prima richiesta» non è, isolatamente considerata, sufficiente a trasformare una fideiussione in un contratto autonomo di garanzia.
The Court of Appeal of Catania, 1st section, judgment of 14 July 2026, no. 1098, reaffirmed that the presence of an “on first demand” payment clause is not, taken in isolation, sufficient to turn a suretyship into an autonomous guarantee.
La medesima espressione può infatti essere utilizzata anche all’interno di una fideiussione e assumere una funzione diversa.
The same expression can in fact be used within a suretyship as well, taking on a different function.
Il punto è particolarmente importante con riferimento all’art. 1957 c.c., che disciplina la permanenza dell’obbligazione del fideiussore dopo la scadenza dell’obbligazione principale e richiede al creditore di attivarsi nei termini previsti dalla norma.
The point is especially important with regard to art. 1957 of the Civil Code, which governs the survival of the surety’s obligation after the main obligation falls due and requires the creditor to act within the terms set by that provision.
Una clausola «a semplice richiesta» può incidere proprio sulle modalità attraverso le quali il creditore deve attivarsi: le parti possono, ad esempio, prevedere che sia sufficiente una richiesta scritta tempestivamente indirizzata al garante, senza che sia necessario promuovere nello stesso termine un’azione giudiziaria nei confronti del debitore principale.
An “on simple demand” clause may affect precisely the way in which the creditor must act: the parties may, for example, provide that a written request sent in good time to the guarantor is sufficient, without the need to bring, within the same term, legal proceedings against the principal debtor.
Questo, tuttavia, non significa necessariamente che la garanzia abbia perso la propria natura fideiussoria.
This, however, does not necessarily mean that the guarantee has lost its suretyship nature.
La clausola di pagamento a prima richiesta deve quindi essere letta insieme alle altre previsioni contrattuali, verificando quale funzione le parti abbiano concretamente inteso attribuirle.
The on-first-demand payment clause must therefore be read together with the other contractual provisions, checking what function the parties actually intended to give it.

La fideiussione, disciplinata dagli artt. 1936 e ss. c.c., segue le vicende dell’obbligazione garantita. Il contratto autonomo di garanzia attribuisce invece al beneficiario una tutela diversa, perché l’obbligazione assunta dal garante è costruita come autonoma rispetto al rapporto principale.
Suretyship, governed by arts. 1936 ff. of the Civil Code, follows the events of the secured obligation. The autonomous guarantee instead gives the beneficiary a different protection, because the obligation assumed by the guarantor is built as autonomous from the main relationship.
Per comprendere quale delle due figure sia stata effettivamente voluta non è quindi sufficiente individuare nel contratto le parole «a prima richiesta».
To understand which of the two figures was actually intended, it is therefore not enough to find the words “on first demand” in the contract.
Occorre verificare, tra l’altro, se il garante possa opporre le eccezioni relative al rapporto principale, quali siano le condizioni dell’escussione, quale rapporto sia previsto tra la garanzia e l’obbligazione garantita e quale disciplina sia stata concordata per durata e decadenze.
One must check, among other things, whether the guarantor can raise the defenses relating to the main relationship, what the conditions for calling the guarantee are, what link is provided between the guarantee and the secured obligation, and what rules were agreed on duration and time bars.
Un rilievo particolare può inoltre assumere una formulazione più incisiva, quale «a prima richiesta e senza eccezioni». La giurisprudenza attribuisce normalmente a questa clausola un significativo valore nella qualificazione del negozio come contratto autonomo di garanzia, salvo che il complessivo contenuto dell’accordo risulti incompatibile con tale qualificazione.
A more incisive formulation, such as “on first demand and without exceptions”, may carry particular weight. Case law normally attributes to this clause a significant value in qualifying the transaction as an autonomous guarantee, unless the overall content of the agreement proves incompatible with that qualification.
Anche in questo caso, quindi, la singola espressione deve essere letta nel contesto dell’intero regolamento contrattuale.
Here too, then, the single expression must be read in the context of the entire contractual arrangement.

Nella pratica, il rischio maggiore non è tanto dimenticare di inserire la formula «a prima richiesta», quanto utilizzarla all’interno di un contratto che, per tutto il resto, continua a essere costruito come una fideiussione.
In practice, the greater risk is not so much forgetting to insert the “on first demand” wording, as using it within a contract that, for everything else, is still built as a suretyship.
È proprio questa incoerenza a creare spazio per il contenzioso.
It is precisely this inconsistency that creates room for litigation.
Una clausola può sembrare diretta a rendere autonoma la garanzia, mentre altre disposizioni mantengono il garante strettamente legato alle vicende dell’obbligazione principale. A quel punto sarà necessario interpretare il contratto nel suo complesso per stabilire quale disciplina debba effettivamente trovare applicazione.
One clause may appear designed to make the guarantee autonomous, while other provisions keep the guarantor closely tied to the events of the main obligation. At that point the contract must be interpreted as a whole to establish which rules actually apply.

Il creditore che ritiene di avere ottenuto una garanzia autonoma può scoprire, al momento dell’escussione, di essere invece titolare di una fideiussione e di dover fare i conti, tra l’altro, con la disciplina dell’art. 1957 c.c.
The creditor who believes it has obtained an autonomous guarantee may discover, when calling it, that it instead holds a suretyship and must reckon, among other things, with the rules of art. 1957 of the Civil Code.
All’opposto, il garante che ritiene di avere conservato la possibilità di opporre le eccezioni relative al rapporto principale può trovarsi di fronte a una garanzia effettivamente autonoma, con margini di contestazione sensibilmente più limitati.
Conversely, the guarantor who believes it has kept the ability to raise the defenses relating to the main relationship may face a genuinely autonomous guarantee, with markedly narrower room to object.
Per questo motivo la forza di una garanzia dipende soprattutto dalla coerenza con cui viene costruita, non dall’inserimento di una singola formula.
For this reason the strength of a guarantee depends above all on the consistency with which it is built, not on the insertion of a single wording.

Prima di sottoscrivere, o richiedere, una garanzia contrattuale è opportuno verificare almeno tre aspetti.
Before signing, or requesting, a contractual guarantee it is advisable to check at least three aspects.

1. Stabilire quale garanzia si vuole ottenere. Il contratto dovrebbe indicare in modo coerente se le parti intendono stipulare una fideiussione oppure un contratto autonomo di garanzia. Non basta attribuire un nome al documento: le singole clausole devono essere compatibili con la struttura prescelta.
1. Establish which guarantee you want. The contract should state consistently whether the parties intend a suretyship or an autonomous guarantee. Naming the document is not enough: the individual clauses must be compatible with the chosen structure.
2. Disciplinare espressamente l’art. 1957 c.c. Se si tratta di fideiussione, è opportuno chiarire quale disciplina le parti intendano applicare alla decadenza prevista dall’art. 1957 c.c. e quale attività sia richiesta al creditore per conservare la garanzia. È possibile, ad esempio, prevedere espressamente che sia sufficiente una richiesta scritta effettuata entro un determinato termine, evitando che la questione debba essere successivamente risolta in sede interpretativa.
2. Address art. 1957 of the Civil Code expressly. If it is a suretyship, it is advisable to clarify how the parties intend to handle the time bar under art. 1957 and what the creditor must do to preserve the guarantee. One may, for example, expressly provide that a written request made within a set term is sufficient, avoiding having the question later resolved by interpretation.
3. Definire con precisione condizioni e limiti. Importo massimo garantito, durata, condizioni per l’escussione, documentazione richiesta ed eccezioni opponibili dovrebbero risultare chiaramente dal testo. Sono proprio questi elementi, più della formula «a prima richiesta» isolatamente considerata, a consentire di comprendere quale rischio abbiano effettivamente assunto le parti.
3. Define conditions and limits precisely. Maximum secured amount, duration, conditions for calling the guarantee, required documentation and available defenses should appear clearly in the text. It is these elements, more than the “on first demand” wording taken in isolation, that reveal the risk the parties actually assumed.
Una garanzia ben costruita deve permettere al creditore e al garante di sapere, già al momento della firma, quando il pagamento potrà essere richiesto, quali contestazioni potranno essere sollevate e fino a quando la garanzia resterà efficace.
A well-built guarantee should let both creditor and guarantor know, already at signing, when payment can be demanded, what objections can be raised and how long the guarantee will remain effective.
