Al quarto anno di un contratto di prestazione energetica il cliente contesta il mancato raggiungimento del risparmio garantito. La ESCo risponde in due righe: la contestazione è tardiva, perché i vizi andavano denunciati entro sessanta giorni dalla scoperta, e comunque l’azione è prescritta, perché sono passati più di due anni dalla consegna dei lavori. L’eccezione regge solo se il contratto è un appalto. Ed è proprio questo il punto che, quasi sempre, nessuno ha scritto.
In year four of an energy performance contract the client disputes the shortfall in guaranteed savings. The ESCO replies in two lines: the complaint is late, because defects had to be reported within sixty days of discovery, and in any event the claim is time-barred, because more than two years have passed since the works were handed over. The objection only stands if the contract is a works contract. And that is precisely the point which, almost always, nobody wrote down.

L’EPC mette insieme prestazioni diverse: lavori, gestione e manutenzione, a volte la fornitura del vettore energetico, quasi sempre il finanziamento. La legge lo definisce per come si paga (in funzione del miglioramento dell’efficienza, art. 2, comma 2, lett. n), D.Lgs. 102/2014) e non lo riconduce a un tipo del codice civile.
An EPC brings together different performances: works, operation and maintenance, sometimes the supply of the energy carrier, almost always the financing. The law defines it by how it is paid for (according to the improvement in efficiency, article 2(2)(n) of Legislative Decree 102/2014) and does not assign it to any contract type in the Civil Code.
Le due indicazioni più autorevoli vanno in direzioni diverse. La relazione al contratto-tipo approvato con la delibera ANAC n. 349 del 17 luglio 2024 lo descrive come contratto atipico, con prestazioni non separabili e un’obbligazione di risultato in capo all’operatore. Le Sezioni Unite della Cassazione, con la sentenza n. 10080 del 28 maggio 2020, hanno invece qualificato come appalto di servizi un contratto di efficientamento in cui il canone era pagato dall’ente pubblico, ai fini del riparto di giurisdizione. Contesti diversi, risposte diverse: allo stato parrebbe difficile sostenere che esista una qualificazione valida per ogni EPC.
The two most authoritative indications point in different directions. The explanatory report to the model contract approved by ANAC resolution no. 349 of 17 July 2024 describes it as an atypical contract, with inseparable performances and an obligation of result on the operator. The Joint Divisions of the Italian Supreme Court, in judgment no. 10080 of 28 May 2020, instead characterised as a services contract an efficiency contract in which the fee was paid by the public body, for the purpose of allocating jurisdiction. Different contexts, different answers: at this stage it would appear hard to argue that a single characterisation holds for every EPC.

Se è un appalto (art. 1655 c.c.) entrano in gioco la garanzia per vizi con la denuncia entro sessanta giorni e la prescrizione biennale (art. 1667 c.c.), la revisione del prezzo per variazioni dei costi oltre il decimo (art. 1664 c.c.) e soprattutto il recesso del committente (art. 1671 c.c.), che può sciogliersi dal contratto in qualunque momento tenendo indenne l’appaltatore delle spese, dei lavori eseguiti e del mancato guadagno.
If it is a works contract (article 1655 of the Civil Code), the warranty for defects applies, with notice within sixty days and a two-year limitation period (article 1667), together with price revision for cost changes above one tenth (article 1664) and, above all, the client’s right of withdrawal (article 1671), allowing the client to exit at any time by compensating the contractor for costs, work done and lost profit.
Se prevale la fornitura di energia o di calore, il modello è la somministrazione (art. 1559 c.c.), e la risoluzione per l’inadempimento di singole prestazioni richiede che sia di notevole importanza e tale da menomare la fiducia nell’esattezza dei successivi adempimenti (art. 1564 c.c.). Una soglia più alta, per chi vuole uscire.
If the supply of energy or heat prevails, the model is the supply contract (article 1559 of the Civil Code), and termination for breach of individual deliveries requires the breach to be significant and such as to undermine confidence in the proper performance of future deliveries (article 1564). A higher threshold for whoever wants out.
Se è un contratto atipico misto, l’orientamento ricorrente pare essere nel senso di applicare la disciplina del tipo che prevale nell’economia complessiva dell’accordo, salvo che le singole prestazioni conservino una propria autonomia. Tradotto: la regola applicabile si scopre in causa, al termine di un accertamento sul peso relativo di lavori, servizi e fornitura.
If it is a mixed atypical contract, the recurring approach appears to be to apply the rules of the type that prevails in the overall economics of the deal, unless the individual performances retain their own autonomy. In plain terms: the applicable rule is discovered in court, at the end of an inquiry into the relative weight of works, services and supply.
Due conseguenze che pochi mettono in conto
Two consequences few people factor in
La prima riguarda il cliente. Se lo scostamento dal risparmio garantito viene letto come un vizio dell’opera, il termine di sessanta giorni per denunciarlo può scadere mentre si aspetta il report annuale (che magari arriva in ritardo). Il cliente ha interesse a scrivere che il report di misura è la verifica contrattuale e che lo scostamento è regolato dalle conseguenze previste nel contratto, fuori dal meccanismo dell’art. 1667 c.c.
The first concerns the client. If the shortfall against guaranteed savings is read as a defect in the works, the sixty-day notice period may run out while waiting for the annual report (which may well arrive late). The client has an interest in stating that the measurement report is the contractual verification and that a shortfall is governed by the consequences set out in the contract, outside the mechanism of article 1667.
La seconda riguarda la ESCo, e rovescia l’idea che la qualificazione come appalto le convenga. Con l’art. 1671 c.c. il cliente potrebbe uscire a metà contratto pagando un indennizzo che andrà poi quantificato, magari in una causa sul mancato guadagno di dieci anni. È ragionevole ritenere che le parti possano regolare diversamente il recesso, ed è proprio la tabella del valore di riscatto a dare a entrambe un numero certo.
The second concerns the ESCO, and overturns the idea that a works-contract characterisation suits it. Under article 1671 the client could exit mid-term by paying compensation that would then have to be quantified, perhaps in a lawsuit over ten years of lost profit. It is reasonable to consider that the parties may regulate withdrawal differently, and it is precisely the buy-out value table that gives both of them a certain figure.
C’è poi la crisi del cliente. Nel Codice della crisi d’impresa e dell’insolvenza il contratto di appalto si scioglie per effetto della liquidazione giudiziale di una delle parti, salvo che il curatore dichiari di voler subentrare (art. 186). Per una ESCo con impianti installati nello stabilimento di un cliente insolvente, la differenza tra le diverse letture si misura in mesi e in garanzie.
Then there is the client’s insolvency. Under the Italian Code of Business Crisis and Insolvency a works contract is dissolved by the judicial liquidation of either party, unless the receiver elects to take it over (article 186). For an ESCO with equipment installed in an insolvent client’s plant, the difference between the readings is measured in months and in security.
Guida pratica: rendere la qualificazione irrilevante
Practical guidance: make the characterisation irrelevant
La clausola che dichiara «le parti qualificano il presente contratto come…» aiuta a ricostruire la volontà, ma non vincola il giudice. Serve di più regolare per iscritto, una per una, le conseguenze che la qualificazione deciderebbe: come e quando si contesta lo scostamento, con quali termini; se e a quale prezzo il cliente può recedere; come si adegua il corrispettivo ai costi; cosa succede agli impianti e al credito se una parte entra in crisi.
A clause stating «the parties characterise this contract as…» helps reconstruct intent but does not bind the court. It is more useful to regulate in writing, one by one, the consequences the characterisation would otherwise decide: how and when a shortfall is disputed, and within what time limits; whether and at what price the client may withdraw; how the fee is adjusted to costs; what happens to the equipment and to the receivable if either party becomes insolvent.
Un contratto scritto così regge qualunque sia la lettura del giudice (che resta comunque libero di darne una). Ed è anche quello che si negozia meglio, perché sposta la trattativa dalle etichette ai numeri.
A contract drafted this way holds whatever reading the court adopts (the court remaining free to adopt one). It is also the one that negotiates best, because it shifts the discussion from labels to numbers.
Tre cose da tenere ferme
Three points to hold on to
(1) L’EPC non ha una qualificazione unica: a seconda delle prestazioni che prevalgono può essere letto come appalto, somministrazione o contratto atipico misto. (2) Da quella lettura dipendono decadenze, recesso, revisione del prezzo e sorte del contratto nella crisi di una parte. (3) La difesa più efficace è regolare espressamente ciascuna di queste conseguenze, così che la qualificazione conti il meno possibile.
