Energy performance contracts: the six clauses where guaranteed savings are lost

Lo schema tipico è questo. Una ESCo rifà la centrale termica e l’illuminazione di uno stabilimento, anticipa l’investimento e si fa pagare per dieci anni con una quota dei risparmi. Al terzo anno il report dice che il risparmio garantito non è stato raggiunto. La ESCo risponde che nel frattempo lo stabilimento è passato da due a tre turni e che i consumi vanno ricalcolati. Chi ha ragione lo decidono poche righe scritte al momento della firma, molto più di quanto sia successo davvero in fabbrica.

The typical set-up runs like this. An ESCO rebuilds a plant’s boiler house and lighting, funds the investment up front and is paid for ten years out of a share of the savings. In year three the report shows the guaranteed savings have not been met. The ESCO replies that the plant has meanwhile moved from two shifts to three and that consumption must be recalculated. Who is right will be decided by a few lines written at signing, far more than by what actually happened on the shop floor.

La definizione è nell’art. 2, comma 2, lett. n) del D.Lgs. 4 luglio 2014, n. 102: un accordo in cui gli investimenti sono pagati «in funzione del livello di miglioramento dell’efficienza energetica stabilito contrattualmente o di altri criteri di prestazione energetica concordati, quali i risparmi finanziari». Tutto il contratto ruota quindi attorno a un numero.

The definition is in article 2(2)(n) of Legislative Decree no. 102 of 4 July 2014: an agreement under which investments are paid for «according to the level of energy efficiency improvement contractually agreed or other agreed energy performance criteria, such as financial savings». The whole contract therefore turns on a number.

Quel numero, però, non esiste in natura. Il risparmio è la differenza tra quanto si consuma dopo l’intervento e quanto si sarebbe consumato senza, e questo secondo dato nessuno lo misura: si stima. Il risparmio, insomma, è un calcolo, e le regole del calcolo stanno nel contratto (o non stanno da nessuna parte).

That number, however, does not exist in nature. Savings are the difference between what is consumed after the works and what would have been consumed without them, and nobody measures the second figure: it is estimated. Savings are, in short, a calculation, and the rules of that calculation sit in the contract (or nowhere at all).

C’è un secondo punto che sorprende chi viene dal settore pubblico. L’Allegato 8 del D.Lgs. 102/2014 elenca gli elementi minimi dei contratti EPC, ma riguarda quelli sottoscritti con il settore pubblico (e vale come riferimento per l’accesso al Conto Termico, art. 7, comma 6). Tra privati la legge non impone un contenuto minimo. Quell’elenco resta comunque la migliore lista di controllo disponibile, e le sei clausole che seguono sono quelle dove, nella pratica, si apre la discussione.

A second point surprises those coming from the public sector. Annex 8 to Legislative Decree 102/2014 lists the minimum elements of EPC contracts, but it concerns contracts signed with the public sector (and serves as the benchmark for access to the Conto Termico incentive, article 7(6)). Between private parties the law imposes no minimum content. That list nonetheless remains the best checklist available, and the six clauses below are where, in practice, the argument starts.

1. La baseline: chi la scrive e cosa succede se è sbagliata

La baseline è il consumo di riferimento da cui si calcola il risparmio. Va allegata al contratto insieme ai dati da cui nasce (periodo, contatori, fatture, ore di funzionamento): il solo risultato non basta. E va scritto chi risponde se si rivela sbagliata.

The baseline is the reference consumption from which savings are calculated. It should be annexed to the contract together with the data it comes from (period, meters, invoices, operating hours), not just the result. And the contract should say who bears the consequences if it turns out to be wrong.

Il contratto-tipo approvato da ANAC con la delibera n. 349 del 17 luglio 2024 per gli edifici pubblici offre una soluzione che funziona anche tra privati: la diagnosi la fa il committente, l’errore nella baseline resta a suo carico, ma può essere fatto valere solo con una verifica in contraddittorio entro un anno. Un termine breve e una procedura: è quello che evita di riaprire il punto di partenza a ogni report sfavorevole.

The model contract approved by the Italian Anti-Corruption Authority (ANAC) by resolution no. 349 of 17 July 2024 for public buildings offers a solution that also works between private parties: the client carries out the energy audit, the risk of an error in the baseline stays with the client, but it can only be raised through a joint verification within one year. A short deadline and a procedure: that is what stops the starting point being reopened at every unfavourable report.

2. Gli aggiustamenti: il turno in più, l’inverno mite, il reparto chiuso

Il caso del terzo turno sta tutto qui. Gli aggiustamenti di routine (gradi giorno, ore di utilizzo, volumi prodotti) vanno tradotti in una formula. Quelli straordinari (una linea nuova, un reparto chiuso, un cambio di destinazione) richiedono invece una procedura: comunicazione, ricalcolo, e un tecnico terzo se le parti non si accordano. L’Allegato 8, lett. k) lo chiama «procedura per le modifiche delle condizioni quadro», con l’esempio dei prezzi dell’energia e dell’intensità d’uso.

The third-shift case lies entirely here. Routine adjustments (degree days, hours of use, production volumes) should be turned into a formula. Non-routine ones (a new line, a closed department, a change of use) call instead for a procedure: notice, recalculation, and a third-party engineer if the parties cannot agree. Annex 8(k) calls it the «procedure for changes to the framework conditions», citing energy prices and intensity of use.

Qui c’è un angolo che la ESCo tende a non vedere. Un aggiustamento scritto in termini troppo larghi (per esempio «ogni variazione rilevante delle condizioni d’uso») protegge chi l’ha proposto, ma rende la garanzia di risparmio quasi impossibile da verificare. Se il testo è un modello predisposto dalla ESCo, l’art. 1370 c.c. vuole che nel dubbio le clausole siano interpretate a favore dell’altro contraente: la clausola nata come scudo può finire letta contro chi l’ha scritta.

There is an angle the ESCO tends to miss here. An adjustment drafted too broadly (for instance «any significant change in conditions of use») protects whoever proposed it, but makes the savings guarantee almost impossible to verify. Where the text is a standard form prepared by the ESCO, article 1370 of the Italian Civil Code requires doubtful clauses to be construed in favour of the other party: a clause born as a shield may end up being read against its author.

3. Misura e verifica: chi legge i contatori

Il protocollo più usato è l’IPMVP dell’Efficiency Valuation Organization, con quattro opzioni che vanno dalla misura del solo intervento isolato (opzioni A e B) all’intero edificio (C) fino alla simulazione calibrata (D). Il contratto deve scegliere l’opzione, indicare chi installa e legge i contatori, chi ha accesso ai dati del sistema di gestione dell’edificio e con quale cadenza arriva il report.

The most widely used protocol is the IPMVP of the Efficiency Valuation Organization, with four options ranging from measuring the isolated measure alone (options A and B) to the whole building (C) and calibrated simulation (D). The contract must choose the option, state who installs and reads the meters, who has access to the building management system data and how often the report is delivered.

Va anche detto cosa succede se il monitoraggio si ferma (succede più spesso di quanto si pensi, per un aggiornamento software o un contatore sostituito). Nel modello ANAC quel rischio è dell’operatore, e la scelta pare ragionevole anche tra privati: chi gestisce l’impianto è nella posizione migliore per evitarlo.

The contract should also say what happens if monitoring stops (it happens more often than expected, after a software update or a replaced meter). In the ANAC model that risk lies with the operator, and the choice appears reasonable between private parties too: whoever runs the plant is best placed to prevent it.

4. Il risparmio garantito: in kWh o in euro?

4. Guaranteed savings: in kWh or in euros?

Una garanzia espressa in euro sembra più concreta, ed è per questo che il cliente la chiede. Ma un risparmio in euro dipende dal prezzo dell’energia, che nessuna delle due parti controlla: con i prezzi in salita la ESCo raggiunge il target senza merito, con i prezzi in discesa lo manca senza colpa. Conviene garantire un risultato in unità fisiche (kWh, Smc) e convertirlo in euro con un prezzo convenzionale scritto in contratto.

A guarantee expressed in euros looks more concrete, which is why clients ask for it. But savings in euros depend on the price of energy, which neither party controls: with rising prices the ESCO hits the target without merit, with falling prices it misses it without fault. It is usually better to guarantee a result in physical units (kWh, standard cubic metres) and convert it into euros at a conventional price written into the contract.

Il resto della clausola si decide su tre domande: il risparmio si verifica anno per anno o in modo cumulativo (e l’anno buono compensa quello cattivo?); cosa comporta lo scostamento (riduzione del canone, penale, risoluzione oltre una soglia); come si divide l’extra-risparmio. Nel modello ANAC l’extra-risparmio va per almeno due terzi all’operatore, e lo scostamento si traduce in decurtazioni del canone fino alla risoluzione se persiste.

The rest of the clause turns on three questions: are savings verified year by year or cumulatively (and does a good year offset a bad one)? What does a shortfall trigger (fee reduction, penalty, termination beyond a threshold)? How are excess savings shared? In the ANAC model at least two thirds of excess savings go to the operator, and a shortfall translates into fee reductions, up to termination if it persists.

5. L’uscita anticipata: impianti, riscatto, cessione dell’immobile

5. Early exit: equipment, buy-out, sale of the building

Un contratto di dieci o quindici anni sopravvive raramente a tutto quello che succede nel frattempo. Servono una tabella del valore di riscatto degli impianti, decrescente nel tempo, e una regola chiara sulla loro proprietà durante e dopo il contratto.

A ten or fifteen-year contract rarely survives everything that happens in between. It needs a table of the equipment’s buy-out value, decreasing over time, and a clear rule on who owns the equipment during and after the contract.

Il caso più trascurato è la vendita dell’immobile. L’acquirente non è parte dell’EPC e la cessione del contratto richiede il consenso della ESCo (art. 1406 c.c.). Il cliente dovrebbe quindi impegnarsi a far subentrare l’acquirente o, in mancanza, a pagare il valore di riscatto. Per la ESCo, nella stessa sede vanno le garanzie sul credito (fideiussione, cessione dei crediti futuri) e cosa accade se il cliente entra in crisi.

The most overlooked case is the sale of the building. The buyer is not a party to the EPC, and assigning the contract requires the ESCO’s consent (article 1406 of the Civil Code). The client should therefore undertake to have the buyer take over the contract or, failing that, to pay the buy-out value. On the ESCO’s side, the same clause is the place for credit security (guarantee, assignment of future receivables) and for what happens if the client becomes insolvent.

6. I requisiti della ESCo nel tempo: la certificazione che scade

Per presentarsi al GSE come soggetto responsabile del Conto Termico 3.0 la ESCo deve avere la certificazione UNI CEI 11352 «in corso di validità» (art. 13, comma 4, del D.M. 7 agosto 2025), e la stessa certificazione è condizione per accedere ai certificati bianchi (art. 12, comma 5, D.Lgs. 102/2014).

To apply to the GSE (the Italian energy services operator) as the party responsible for the Conto Termico 3.0 incentive, the ESCO must hold a UNI CEI 11352 certification that is «currently valid» (article 13(4) of the Ministerial Decree of 7 August 2025), and the same certification is a condition for access to white certificates (article 12(5) of Legislative Decree 102/2014).

Il rischio sta dove nessuno lo cerca. Se l’incentivo entra nel piano economico del contratto (come accade quasi sempre) e la certificazione decade a metà strada, la perdita rischia di ricadere sul cliente. Il contratto dovrebbe prevedere un obbligo di mantenimento, un obbligo di comunicazione immediata e una regola su chi sopporta l’incentivo perduto.

The risk lies where nobody looks for it. If the incentive forms part of the contract’s financial plan (as it almost always does) and the certification lapses half-way, the loss may fall on the client. The contract should include a duty to maintain the certification, a duty of immediate notice and a rule on who bears the lost incentive.

(1) Il risparmio garantito vale quanto le regole con cui si calcola: baseline documentata, aggiustamenti con formula e procedura, protocollo di misura scelto per iscritto. (2) Tra privati non c’è un contenuto minimo di legge: l’Allegato 8 del D.Lgs. 102/2014 va usato come lista di controllo, punto per punto. (3) Le clausole scritte per proteggere una parte vanno rilette con gli occhi del giudice: quella più larga è spesso la più fragile.
