Converting an artisan workshop into a restaurant may require works on the installations and on the condominium subsoil. But to what extent may an owner use a common part for the needs of their own business? In its order no. 23936 of 23 July 2026, the Court of Cassation clarifies the limits on excavation and the role of the general meeting.
Il caso: da laboratorio artigianale a ristorante
The case: from artisan workshop to restaurant
A property company, owner of a ground-floor unit in a condominium building, intended to convert an artisan workshop into a restaurant.
The works required the construction of a septic tank and a grease trap in the building’s subsoil.
The general meeting had however resolved to prohibit “any excavation and works compromising the building’s maximum safety and preventing equal use of the subsoil by all co-owners”.
The company challenged the resolution, arguing that it unlawfully restricted its right to use the common parts.
The Court of Venice dismissed the claim and the Court of Appeal upheld that decision, relying on the established risks to the building’s stability.
The dispute thus reached the Court of Cassation which, by order no. 23936 of 23 July 2026, dismissed the company’s appeal.
The subsoil is common property, but its use is not barred to the individual owner
The Court starts from a settled principle: the subsoil of a condominium building belongs, unless a deed provides otherwise, to all the co-owners.
The common nature of the asset does not, however, prevent the individual owner from using it to meet needs connected with their own unit.
L’art.
Indeed, art. 1102 of the Civil Code allows each participant to use the common asset and to alter it for the better enjoyment of their own right, provided they do not change its purpose and do not prevent the others from making equal use of it.
The principle of equal use does not, moreover, require all co-owners to use the asset at the same time and in the same way.
The limit therefore does not lie in the excavation as such, but in its consequences for the purpose of the subsoil, the safety of the building and the rights of the other co-owners.
Quando lo scavo diventa illegittimo
When excavation becomes unlawful
The Court distinguishes works that the individual co-owner may lawfully carry out from those that affect common property in an incompatible manner.
Not every excavation automatically amounts to unlawful use of the subsoil. It must be assessed in concrete terms whether the works alter the subsoil’s supporting function or impair the other co-owners’ right to use the asset.
Different is the case of excavation in depth aimed at enlarging privately owned premises or creating new ones, which cannot be carried out without the other co-owners’ consent where it harms their right over the common subsoil.
In the case at hand, the lower courts had found that building the planned installations would have prevented equal use of the subsoil in safe conditions, since the condominium’s septic tank and the one planned by the company could not coexist.
The Court therefore held the challenged resolutions lawful, noting that they merely recalled the limits already set by art. 1102 and the need to safeguard the building’s stability.
A change of use does not override condominium limits
The ruling is of particular relevance to property transactions involving the conversion of commercial or artisan premises into catering businesses.
The point is not whether a change of use is lawful in the abstract, but whether the works needed for the new business can actually be carried out.
Planning compatibility does not, in itself, carry the right to carry out any works whatsoever on the building’s common parts.
For this reason, before buying or leasing premises intended for catering, it is advisable to check not only the planning and building rules, but also the layout of the installations, the nature of the parts affected by the works, the title deeds and the condominium regulations.
Works that are technically necessary for the business may in fact prove incompatible with the other co-owners’ rights or with the building’s safety conditions.
The consequence can be significant: premises abstractly suitable for the new use may not be usable in practice for the planned business.
Il principio da ricordare
The principle to remember
Order no. 23936/2026 does not confer on the general meeting a general power to prohibit any works in the common subsoil.
Rather, it confirms that the individual’s right to use and alter the common parts meets a limit where the works compromise the building’s stability or prevent the other co-owners from making equal use of the asset.
For anyone investing in premises intended for catering, checking the installations and the condominium constraints in advance is therefore not a technical detail, but an essential part of the legal assessment of the transaction.
