Il contratto dichiarato inopponibile all’asta: la causa che non si poteva fare

A lease declared unenforceable at auction: the claim that could not be brought

Un’azienda agricola coltiva da trent’anni fondi presi in affitto. L’immobile finisce pignorato per un debito del proprietario e, nell’avviso di vendita, il custode giudiziario — su indicazione del giudice dell’esecuzione — dà atto che i beni sono “giuridicamente liberi”: il contratto d’affitto è inopponibile. L’affittuaria reagisce citando il custode davanti al giudice ordinario e chiede che venga accertato il proprio diritto a restare nei fondi. Perde in primo grado, perde in appello e, con l’ordinanza n. 25966 depositata il 30 settembre 2026, la Terza Sezione civile della Cassazione cassa tutto senza rinvio per una ragione che nessuno aveva sollevato: quella causa, proposta in quei termini e contro il custode, non poteva essere promossa.

A farming business has worked leased land for thirty years. The property is seized for the owner’s debt and, in the notice of sale, the court-appointed receiver — on the enforcement judge’s instruction — records that the assets are “legally vacant”: the agricultural lease cannot be set up against the purchaser. The tenant responds by suing the receiver before the ordinary court, seeking a declaration of its right to remain on the land. It loses at first instance, loses on appeal and, by order no. 25966 filed on 30 September 2026, the Third Civil Division of the Italian Supreme Court sets aside everything without remittal, on a ground nobody had raised: that claim, framed in those terms and brought against the receiver, could not be pursued.

The problem: the notice of sale that erases the lease

La sequenza è più comune di quanto sembri, e non riguarda solo l’agricoltura. Un conduttore commerciale, un affittuario di fondo rustico, un’impresa che occupa un capannone scoprono che il proprietario è esecutato. Nel fascicolo compare un avviso di vendita che qualifica il bene come libero. Da quel momento il contratto, almeno agli occhi del mercato, sembra non esistere più: chi guarda l’asta legge che comprerà un immobile libero.

The sequence is more common than it looks, and it is not confined to farming. A commercial tenant, a farm tenant, a business occupying a warehouse all discover that the landlord is subject to enforcement. The file contains a notice of sale describing the asset as vacant. From that moment the lease, at least in the eyes of the market, appears no longer to exist: anyone looking at the auction reads that they will be buying vacant premises.

Nel caso esaminato, il contratto d’affitto agrario era stato stipulato e registrato il 16 aprile 1987, della durata di quindici anni rinnovabili, e si era rinnovato tacitamente una prima volta dal 16 aprile 2002 e una seconda dal 16 aprile 2017, in assenza di disdetta. Il pignoramento era stato trascritto il 5 agosto 2016.

In the case examined, the agricultural lease had been entered into and registered on 16 April 1987 for fifteen years, renewable, and had tacitly renewed first from 16 April 2002 and again from 16 April 2017, no notice to quit having been given. The attachment was registered on 5 August 2016.

I giudici di merito hanno applicato l’art. 2923, comma 2, c.c.: le locazioni immobiliari eccedenti i nove anni e non trascritte anteriormente al pignoramento non sono opponibili all’acquirente oltre i limiti previsti dalla norma. La conclusione dei giudici di merito era stata netta: opponibilità fino al 16 aprile 1996 e, successivamente, inefficacia nei confronti della procedura.

The lower courts applied article 2923(2) of the Civil Code: leases exceeding nine years and not registered before the attachment cannot be set up against the purchaser beyond the limits laid down by that provision. Their conclusion was clear-cut: enforceable until 16 April 1996 and, thereafter, ineffective as against the enforcement proceedings.

Il problema processuale: l’azione ordinaria di accertamento non era il rimedio

The procedural problem: an ordinary declaratory claim was not the remedy

La Cassazione, però, non decide la questione sostanziale. Non esamina i due motivi di ricorso, che pure definisce di “rilevante importanza nomofilattica” e riferiti, almeno in parte, a profili mai affrontati prima. Rileva invece d’ufficio l’originaria inammissibilità della domanda. E lo fa attraverso due passaggi che conviene tenere distinti.

The Court, however, does not decide the substantive question. It does not examine the two grounds of appeal, although it describes them as of “significant importance for the uniform application of the law” and as concerning, at least in part, aspects never addressed before. Instead it raises of its own motion the original inadmissibility of the claim. It does so through two steps worth keeping distinct.

Il primo riguarda il custode giudiziario. Il custode non rappresenta né il debitore esecutato né i creditori. Non è un mandatario della procedura, non è un sostituto processuale dei creditori e non deriva i propri poteri dall’aggiudicatario. È il titolare di un munus publicum, con funzioni strettamente collegate all’amministrazione e alla liquidazione del compendio pignorato. La sua legittimazione, processuale e sostanziale, esiste dunque soltanto nei limiti delle iniziative che interferiscono concretamente con la gestione e con la liquidazione dei beni. Una sentenza ottenuta contro il custode non può, per questa sola ragione, spiegare effetti nei confronti dei creditori che non hanno partecipato al giudizio.

The first concerns the court-appointed receiver. The receiver represents neither the debtor subject to enforcement nor the creditors. He is not an agent of the proceedings, nor a procedural substitute for the creditors, and he derives no powers from the purchaser. He holds a munus publicum, with functions strictly tied to the administration and liquidation of the seized estate. His standing, both procedural and substantive, therefore exists only within the limits of proceedings that genuinely interfere with the management and liquidation of the assets. A judgment obtained against the receiver cannot, for that reason alone, produce effects against creditors who took no part in the case.

Il secondo passaggio riguarda invece la struttura stessa del processo esecutivo. La Cassazione ribadisce che l’esecuzione forzata è caratterizzata da un sistema chiuso, tipizzato e inderogabile di rimedi interni. Un’azione ordinaria di accertamento che abbia, in sostanza, lo scopo di neutralizzare gli effetti di un provvedimento del giudice dell’esecuzione non può essere utilizzata in alternativa ai rimedi previsti dal codice di procedura civile.

The second step concerns the structure of enforcement proceedings themselves. The Court reiterates that enforcement is characterised by a closed, statutorily defined and mandatory system of internal remedies. An ordinary declaratory claim whose purpose is, in substance, to neutralise the effects of an order of the enforcement judge cannot be used as an alternative to the remedies provided by the Code of Civil Procedure.

Ma c’è un passaggio ulteriore, forse ancora più importante. Non ogni provvedimento adottato nel corso dell’esecuzione può essere immediatamente opposto. Il terzo estraneo alla procedura, quando sia effettivamente pregiudicato da un vero atto esecutivo, può utilizzare i rimedi oppositivi previsti dal processo esecutivo. Prima, però, occorre verificare che vi sia davvero un atto attualmente lesivo e non un mero atto preparatorio. Ed è proprio ciò che mancava in questo caso.

There is a further step, perhaps more important still. Not every order made in the course of enforcement can be challenged at once. A third party outside the proceedings, where genuinely prejudiced by a true enforcement act, may use the objection remedies the enforcement process provides. First, however, one must check that there really is an act causing present prejudice and not a mere preparatory act. That is precisely what was missing here.

“La legittimazione passiva del custode giudiziario si giustifica in ragione delle iniziative giudiziarie che possano coinvolgere il compendio pignorato, ma in grado di interferire concretamente con la sua liquidazione, non certo di quelle che si prefiggono il mero scopo di ottenere una pronuncia giudiziale da far valere genericamente contro la procedura esecutiva.”

“The receiver’s standing as defendant is justified by proceedings capable of affecting the seized estate and of genuinely interfering with its liquidation — certainly not by proceedings whose only purpose is to obtain a judgment to be relied upon generically against the enforcement procedure.”

Agire subito era sbagliato, ma non perché il diritto dell’affittuaria fosse già escluso

Acting at once was wrong — but not because the tenant’s right was already excluded

Qui sta il passaggio più interessante della decisione. La Corte osserva che i provvedimenti del giudice dell’esecuzione con i quali era stato disposto che l’avviso di vendita desse atto dell’inopponibilità del contratto non producevano, di per sé, effetti vincolanti nei confronti dell’affittuaria. Servivano a informare i potenziali acquirenti sulle condizioni giuridiche del compendio posto in vendita, ma non determinavano ancora una lesione definitiva della posizione dell’occupante. Erano, dunque, meri atti preparatori.

Here lies the most interesting step of the decision. The Court observes that the orders by which the enforcement judge directed the notice of sale to record the lease as unenforceable did not, in themselves, bind the tenant. They served to inform potential buyers of the legal condition of the estate offered for sale, but did not yet cause definitive prejudice to the occupier’s position. They were, therefore, mere preparatory acts.

La conseguenza è controintuitiva: l’affittuaria non solo aveva scelto il rimedio sbagliato, ma si era anche mossa troppo presto. La Cassazione indica infatti due possibili momenti successivi nei quali la tutela avrebbe potuto essere esercitata.

The consequence is counter-intuitive: the tenant had not only chosen the wrong remedy, it had also moved too early. The Court identifies two later moments at which protection could have been sought.

Il primo è quello successivo all’aggiudicazione. Una volta divenuto proprietario l’aggiudicatario, l’affittuaria avrebbe potuto far valere direttamente nei suoi confronti l’opponibilità del contratto, senza necessità di impugnare il decreto di trasferimento: se il contratto è opponibile, vale il principio emptio non tollit locatum.

The first comes after the sale. Once the purchaser has become owner, the tenant could have asserted the enforceability of the lease directly against him, without needing to challenge the transfer decree: if the lease is enforceable, the rule emptio non tollit locatum applies.

La seconda possibilità riguarda invece il rilascio. Se l’affittuaria fosse rimasta nella detenzione dei fondi e il decreto di trasferimento fosse stato utilizzato come titolo esecutivo per ottenerne il rilascio, avrebbe potuto proporre opposizione all’esecuzione ex art. 615 c.p.c., facendo valere il proprio diritto personale di godimento.

The second possibility concerns possession. Had the tenant remained in occupation and had the transfer decree been used as an enforceable title to obtain possession, it could have brought an objection to enforcement under article 615 of the Code of Civil Procedure, relying on its personal right of enjoyment.

La questione che resta aperta: il rinnovo tacito fa decorrere un nuovo novennio?

The question left open: does tacit renewal start a fresh nine-year period?

Il punto sostanziale più interessante rimane irrisolto. La società affittuaria sosteneva che il rinnovo tacito del contratto costituisse un nuovo negozio giuridico e che, conseguentemente, il limite del novennio previsto dall’art. 2923, comma 2, c.c. dovesse decorrere nuovamente dal 16 aprile 2017. In tale prospettiva, il contratto sarebbe stato opponibile alla procedura almeno fino al 16 aprile 2026.

The most interesting substantive point remains unresolved. The tenant argued that tacit renewal amounted to a fresh contract and that, as a result, the nine-year limit under article 2923(2) should run again from 16 April 2017. On that view, the lease would have been enforceable against the proceedings at least until 16 April 2026.

La Cassazione non prende posizione. Anzi, segnala espressamente che si tratta di una questione di rilevante importanza nomofilattica e, almeno per alcuni profili, mai affrontata in precedenza. È quindi prudente non costruire una strategia difensiva sull’assunto che il rinnovo tacito faccia necessariamente decorrere un nuovo novennio, ma è altrettanto improprio considerare la questione già definitivamente risolta in senso contrario.

The Court takes no position. On the contrary, it expressly notes that this is a question of significant importance for the uniform application of the law and, at least in some respects, never addressed before. It is therefore prudent not to build a defence on the assumption that tacit renewal necessarily starts a fresh nine-year period, and equally wrong to treat the question as already settled the other way.

Practical guidance: what to do, and when

Alla stipula, se la durata supera i nove anni. La protezione verso i terzi non si esaurisce nella data certa. Quando la durata del contratto supera i nove anni, la trascrizione assume un ruolo decisivo. Senza trascrizione, la tutela del conduttore nei confronti dell’acquirente all’asta incontra il limite previsto dall’art. 2923, comma 2, c.c., ferma la questione, ancora aperta, degli effetti che un successivo rinnovo tacito possa produrre sul decorso di un nuovo novennio. Nelle operazioni in cui l’investimento del conduttore è significativo, come impianti, allestimenti e colture pluriennali, il costo della trascrizione è minimo rispetto al valore della posizione che viene protetta.

At signature, where the term exceeds nine years. Protection against third parties does not end with a certified date. Where the term runs beyond nine years, registration against the property becomes decisive. Without it, the tenant’s protection against an auction purchaser meets the limit set by article 2923(2), subject to the still open question of what effect a later tacit renewal may have on the running of a fresh nine-year period. Where the tenant’s investment is significant — plant, fit-out, multi-year crops — the cost of registration is minimal compared with the value of the position it protects.

When the attachment appears. The first useful reaction is not necessarily to start proceedings. Four facts need to be established first:

Da questi elementi dipende la strategia successiva. In questa fase, può essere opportuno comunicare formalmente al custode l’esistenza del contratto, documentarne il contenuto e chiedere che la posizione dell’occupante venga correttamente rappresentata nell’avviso di vendita. Una simile comunicazione non produce effetti vincolanti sulla procedura, ma consente di cristallizzare documentalmente la posizione del conduttore.

Everything that follows depends on those elements. At this stage it may be advisable to notify the receiver formally of the lease, document its content and ask that the occupier’s position be correctly stated in the notice of sale. Such a communication does not bind the proceedings, but it does fix the tenant’s position on the record.

Per chi compra all’asta. L’indicazione secondo cui il bene è “giuridicamente libero” non equivale necessariamente a un accertamento definitivo dell’inesistenza o dell’inopponibilità del titolo dell’occupante. Chi acquista un immobile occupato dovrebbe quindi verificare autonomamente il titolo in forza del quale il bene è detenuto, la sua durata, la sua data e l’eventuale trascrizione. Il vero contenzioso sul rilascio può infatti aprirsi dopo l’aggiudicazione. Ed è un rischio che va valutato prima di formulare l’offerta.

For auction buyers. The statement that an asset is “legally vacant” does not necessarily amount to a final finding that the occupier’s title does not exist or cannot be set up against the purchaser. A buyer acquiring occupied premises should therefore verify independently the title under which the property is held, its term, its date and whether it was registered. The real dispute over possession may open after the sale. That is a risk to be weighed before the bid is made.

Sulla scelta del rimedio. Davanti a un provvedimento del giudice dell’esecuzione la prima domanda da porsi è semplice: si tratta di un atto esecutivo attualmente lesivo oppure di un mero atto preparatorio? Se è preparatorio, l’azione può essere prematura. Se è invece un vero atto esecutivo e produce una lesione attuale, occorre individuare il rimedio oppositivo previsto dal sistema dell’esecuzione forzata, senza tentare di aggirarlo attraverso un’autonoma azione di accertamento. È una distinzione processuale apparentemente formale, ma decisiva. In questa vicenda è costata tre gradi di giudizio.

On choosing the remedy. Faced with an order of the enforcement judge, the first question is a simple one: is this an enforcement act causing present prejudice, or a mere preparatory act? If preparatory, the claim may be premature. If it is a true enforcement act causing present prejudice, the objection remedy provided by the enforcement system must be identified, rather than circumvented by a free-standing declaratory claim. The distinction looks merely formal, yet it is decisive. In this case it cost three instances.

(1) Il contratto ultranovennale non trascritto anteriormente al pignoramento incontra, nei confronti dell’acquirente, il limite previsto dall’art. 2923, comma 2, c.c.; resta però aperta la questione se un rinnovo tacito possa determinare la decorrenza di un nuovo novennio. (2) Il custode giudiziario è titolare di un ufficio e non rappresenta né l’esecutato né i creditori: una pronuncia ottenuta contro di lui non è automaticamente opponibile agli altri soggetti della procedura. (3) Nel processo esecutivo i rimedi sono tipizzati. Prima di agire occorre però verificare se il provvedimento contestato sia realmente lesivo: se si tratta soltanto di un atto preparatorio, l’azione può essere prematura; la tutela potrà eventualmente essere esercitata in un momento successivo, anche nei confronti dell’aggiudicatario o attraverso l’opposizione all’esecuzione ex art. 615 c.p.c.
