Un fornitore storico si vede chiudere le forniture da un giorno all’altro; un’azienda che lavora quasi solo per un committente riceve condizioni sempre più gravose e le firma perché non può permettersi di perdere quel cliente. La tentazione è leggere subito un abuso di dipendenza economica. Ma lo squilibrio del contratto, da solo, non basta: la legge chiede molto di più.
A long-standing supplier is cut off overnight; a company that works almost exclusively for one client is handed ever harsher terms and signs them because it cannot afford to lose that customer. The temptation is to call this an abuse of economic dependence. But an unbalanced contract, on its own, is not enough: the law asks for a good deal more.

Nelle filiere B2B i rapporti di forza sono raramente simmetrici. Un’impresa può trovarsi in dipendenza economica da un’altra quando questa è in grado di determinare, nei loro rapporti commerciali, un eccessivo squilibrio di diritti e di obblighi (art. 9 L. 18 giugno 1998 n. 192). Il punto delicato è che lo squilibrio, di per sé, non è vietato: firmare un cattivo affare non dà il diritto di sciogliersene invocando il proprio svantaggio. La norma colpisce l’abuso di quella posizione, non la disparità contrattuale in quanto tale.
In B2B supply chains, bargaining power is rarely symmetrical. A company may be in a position of economic dependence on another where the latter can impose, in their commercial dealings, an excessive imbalance of rights and obligations (art. 9 of Law no. 192 of 18 June 1998). The delicate point is that imbalance, in itself, is not prohibited: signing a bad deal does not entitle a party to walk away by invoking its own disadvantage. The rule targets the abuse of that position, not contractual disparity as such.

Per il contraente debole il rischio è costruire una difesa sul solo squilibrio e vedersela respingere: senza la prova della dipendenza e dell’abuso, resta legato al contratto che ha sottoscritto. Per l’impresa in posizione di forza il rischio è speculare, e spesso sottovalutato: credersi al sicuro perché il contratto è formalmente equilibrato, quando l’abuso può annidarsi nella condotta, ad esempio nell’interruzione arbitraria di relazioni commerciali consolidate, più che nel testo firmato. Sbagliare la lettura ha un costo: azioni temerarie da un lato, contenzioso e nullità dall’altro.
For the weaker party the risk is building a defense on imbalance alone and having it dismissed: without proof of dependence and of abuse, it stays bound by the contract it signed. For the stronger party the risk is the mirror image, and often underestimated: feeling safe because the contract is formally balanced, when abuse may lie in the conduct, for instance in the arbitrary termination of established commercial relations, rather than in the signed text. Reading it wrong has a price: reckless claims on one side, litigation and nullity on the other.

Perché si configuri l’abuso non basta lo squilibrio negoziale. Allo stato l’orientamento prevalente pare essere nel senso che occorrano, insieme, una posizione di dominio relativo di un’impresa sull’altra, l’assenza di reali alternative sul mercato per il contraente debole, e una condotta abusiva contraria a buona fede (imposizione di condizioni ingiustificatamente gravose, rifiuto di contrarre, interruzione arbitraria del rapporto). La dipendenza, in particolare, si misura anche sulla concreta possibilità per la parte che lamenta l’abuso di reperire sul mercato alternative soddisfacenti: se quelle alternative c’erano e non sono state usate, la tesi dell’abuso si indebolisce. La disciplina, nata per la subfornitura, è da tempo intesa come principio di portata generale, applicabile ai rapporti tra imprese anche fuori da quel contratto (Cass., Sez. Un., 25 novembre 2011 n. 24906).
For abuse to arise, negotiating imbalance is not enough. At this stage the prevailing view appears to require, together, a position of relative dominance of one firm over the other, the absence of real alternatives on the market for the weaker party, and abusive conduct contrary to good faith (imposition of unjustifiably burdensome terms, refusal to deal, arbitrary termination of the relationship). Dependence, in particular, is measured also against the actual ability of the complaining party to find satisfactory alternatives on the market: if those alternatives existed and went unused, the abuse argument weakens. The rule, born for subcontracting, has long been read as a principle of general scope, applicable to dealings between businesses beyond that contract as well (Court of Cassation, Joint Chambers, 25 November 2011 no. 24906).
Qui l’angolo che spesso sfugge. Si tende ad associare la dipendenza economica al fatturato o alla stazza dei contraenti, ma il baricentro è un altro: le alternative di mercato. Un’impresa grande che, per una fornitura infrastrutturale specifica, dipende da un unico produttore qualificato può trovarsi debole quanto la piccola azienda monocommittente. E c’è un secondo angolo, per chi si sente forte: la relazione commerciale duratura, quella che negli anni ha portato l’altro a investire e a organizzarsi su misura, è proprio quella in cui un’interruzione improvvisa rischia di essere letta come arbitraria. La sicurezza data dal contratto ben scritto può essere ingannevole se la prassi racconta un’altra storia.
Here is the angle that is often missed. Economic dependence is usually associated with turnover or the size of the parties, but the centre of gravity is elsewhere: market alternatives. A large firm that, for a specific infrastructure supply, depends on a single qualified producer may be as weak as a small single-client company. And there is a second angle, for those who feel strong: the long-standing commercial relationship, the one that over the years led the other side to invest and organise around it, is precisely the one where a sudden cut-off risks being read as arbitrary. The comfort of a well-drafted contract can be misleading if practice tells another story.
I rimedi: nullità, risarcimento, foro specializzato
The remedies: nullity, damages, specialised court
Accertato l’abuso, il patto con cui si realizza è nullo; sono inoltre esperibili l’azione risarcitoria e, nei casi più gravi, la tutela inibitoria. La competenza, secondo l’orientamento richiamato, è delle sezioni specializzate in materia di impresa. Sono strumenti che pesano, e proprio per questo vanno maneggiati con una premessa di prova solida: la nullità del singolo patto abusivo non travolge automaticamente l’intero rapporto, e la linea tra rinegoziazione legittima e imposizione abusiva si traccia sui fatti, non sulle intenzioni.
Once abuse is established, the agreement through which it is carried out is void; a claim for damages and, in the most serious cases, injunctive relief are also available. Jurisdiction, under the case-law referred to, lies with the specialised business courts. These are weighty tools, and precisely for that reason they call for a solid evidentiary basis: the nullity of the single abusive term does not automatically bring down the whole relationship, and the line between legitimate renegotiation and abusive imposition is drawn on the facts, not on intentions.

(1) Verificare le alternative di mercato della controparte: è questo, non lo squilibrio del contratto, il cuore della dipendenza. (2) Documentare la condotta nel tempo (rifiuti, condizioni imposte, interruzioni di forniture consolidate): l’abuso vive nei fatti, non solo nelle clausole. (3) Se si decide di agire o di difendersi, ricordare i rimedi e il foro (nullità del patto, risarcimento, inibitoria davanti alle sezioni specializzate imprese) e misurare la solidità della prova prima di muoversi.
