Un imprenditore scrive di suo pugno il testamento per proteggere la compagna e il figlio piccolo. Lascia alla compagna le quote societarie e la casa, al figlio gli altri immobili, e aggiunge una clausola che gli sembra il coronamento del suo progetto: la compagna, alla propria morte, dovrà nominare erede il figlio. L’obiettivo è semplice: mantenere unito il patrimonio familiare. Proprio quella clausola, però, si rivela il punto debole dell’intero impianto testamentario e conduce alla nullità dell’intera disposizione a favore della compagna. Lo chiarisce una recente sentenza della Corte d’appello di Milano.
An entrepreneur writes his own will to protect his partner and their young child. He leaves the company shares and the home to his partner, the other properties to the child, and adds a clause that feels like the crowning touch of his plan: his partner, on her own death, must name the child as her heir. The aim is simple: to keep the family estate together. Yet that very clause turns out to be the weak point of the whole will and leads to the nullity of the entire disposition in the partner’s favour. A recent judgment of the Milan Court of Appeal makes this clear.
Il problema: voler decidere anche della successione altrui

Chi ha costruito un patrimonio importante — un’azienda, immobili o partecipazioni societarie — spesso non desidera soltanto stabilire chi erediterà i propri beni, ma anche controllare quale sarà la loro destinazione nel tempo. Nascono così formule del tipo: «Lascio tutto a te, ma poi dovrai lasciare tutto a nostro figlio».
Those who have built up a substantial estate — a business, real estate or shareholdings — often want not only to decide who will inherit their assets, but also to control where those assets will go over time. Hence formulas such as: «I leave everything to you, but then you must leave everything to our child».
L’intento è comprensibile, soprattutto nelle famiglie di fatto, dove il timore è che il partner possa un domani destinare il patrimonio ad altri soggetti.
The intention is understandable, especially in non-marital families, where the fear is that the partner might one day direct the estate to other people.
Il problema, però, non è l’obiettivo perseguito, bensì lo strumento utilizzato: il testatore finisce per imporre a un’altra persona come dovrà disporre della propria successione. Ed è proprio qui che il nostro ordinamento pone un limite invalicabile.
The problem, however, is not the goal pursued but the tool used: the testator ends up dictating to another person how they must dispose of their own succession. And it is exactly here that our legal system sets an insurmountable limit.
Il principio: nessuno può vincolare il futuro testamento di un altro
The principle: no one can bind another person’s future will
La Corte d’appello di Milano, con la sentenza del 13 luglio 2026, affronta anzitutto una questione tecnica importante.
The Milan Court of Appeal, in its judgment of 13 July 2026, first addresses an important technical issue.
Il Tribunale aveva qualificato la clausola come sostituzione fedecommissaria, ma la Corte d’appello corregge tale ricostruzione.
The lower court had classified the clause as a fideicommissary substitution, but the Court of Appeal corrects that reading.
Secondo i giudici, infatti, non ricorre una sostituzione fedecommissaria, perché manca uno dei suoi elementi essenziali: il passaggio automatico dei beni dal primo beneficiario al secondo. Nel caso esaminato, il figlio avrebbe acquistato quei beni soltanto se la compagna avesse, in futuro, redatto un proprio testamento conforme all’impegno assunto. Non vi era quindi alcuna doppia delazione automatica prevista dal primo testatore.
According to the judges, there is no fideicommissary substitution, because one of its essential elements is missing: the automatic passing of the assets from the first beneficiary to the second. In the case examined, the child would have acquired those assets only if the partner had, in the future, drawn up her own will in line with the commitment undertaken. There was therefore no automatic double devolution set out by the first testator.
La Corte qualifica invece quella previsione come una condizione risolutiva potestativa illecita, perché limita la libertà testamentaria dell’erede.
The Court instead classifies that provision as an unlawful potestative resolutive condition, because it limits the heir’s freedom to make a will.
In altre parole, il testatore non può obbligare chi riceve un’eredità a fare un determinato testamento, né può impedirgli di cambiare idea nel corso della vita. La libertà di disporre dei propri beni mortis causa è personale e deve rimanere sempre revocabile fino all’ultimo momento.
In other words, the testator cannot compel an heir to make a particular will, nor prevent them from changing their mind over the course of their life. The freedom to dispose of one’s own assets on death is personal and must always remain revocable until the very last moment.
L’effetto domino: quando non cade solo la clausola

A questo punto si potrebbe pensare che la soluzione sia semplice: eliminare la clausola illecita e lasciare in piedi il resto del testamento.
At this point one might think the solution is simple: strike out the unlawful clause and leave the rest of the will standing.
Non è quanto accade nel caso deciso dalla Corte.
That is not what happens in the case decided by the Court.
I giudici verificano infatti se quella clausola costituisse la ragione determinante dell’attribuzione a favore della compagna. Concludono che il testatore aveva deciso di assegnarle la parte più rilevante del patrimonio proprio perché confidava che, alla sua morte, quei beni sarebbero comunque confluiti al figlio.
The judges assess whether that clause was the decisive reason for the gift in the partner’s favour. They conclude that the testator had decided to assign her the most significant part of the estate precisely because he trusted that, on her death, those assets would in any event pass to the child.
Venuta meno quella possibilità, viene meno anche la ragione stessa dell’attribuzione.
Once that possibility falls away, so does the very reason for the gift.
Per questo motivo trova applicazione l’art. 626 c.c.: quando il motivo illecito è l’unico motivo determinante della disposizione testamentaria, non cade soltanto la clausola, ma può essere travolta l’intera disposizione.
For this reason art. 626 of the Civil Code applies: where the unlawful motive is the sole decisive reason for the testamentary disposition, it is not only the clause that falls, but the entire disposition that may be brought down.
Nel caso concreto ciò ha comportato la nullità dell’attribuzione a favore della convivente e l’apertura della successione legittima, nella quale il figlio è risultato unico erede.
In the specific case this meant the nullity of the gift in the partner’s favour and the opening of intestate succession, in which the child turned out to be the sole heir.
Il vero insegnamento della sentenza
The real lesson of the judgment
La decisione contiene un messaggio molto pratico.
The decision carries a very practical message.
Non è il testamento olografo ad essere pericoloso. Un testamento scritto di pugno, chiaro e semplice, è perfettamente valido e spesso rappresenta la soluzione migliore.
It is not the holographic will that is dangerous. A handwritten will, clear and simple, is perfectly valid and often the best solution.
Diventa invece rischioso quando pretende di disciplinare anche la futura successione di un’altra persona.
It becomes risky, instead, when it seeks to govern another person’s future succession as well.
Più il testatore cerca di controllare ciò che accadrà dopo la propria morte e dopo quella dell’erede, maggiore è il rischio che l’intero progetto successorio venga compromesso.
The more the testator tries to control what will happen after their own death and after the heir’s, the greater the risk that the entire succession plan will be compromised.
Come proteggere davvero partner e figli
How to genuinely protect a partner and children
Se l’obiettivo è tutelare il partner e, allo stesso tempo, assicurare che il patrimonio resti ai figli, il nostro ordinamento offre strumenti pienamente leciti. Ad esempio:
If the aim is to protect the partner and, at the same time, to ensure the estate stays with the children, our legal system offers fully lawful tools. For example:
- attribuire al partner l’usufrutto e ai figli la nuda proprietà, evitando di comprimere la libertà testamentaria di chi riceve i beni;
- ricorrere a legati specifici anziché imporre obblighi sulla futura successione dell’erede;
- nelle realtà imprenditoriali, valutare strumenti come il patto di famiglia oppure, ove appropriato, strutture di pianificazione patrimoniale quali trust o holding familiari;
- rispettare sempre le quote di legittima spettanti agli eredi necessari.
- grant the partner a life interest (usufruct) and the children the bare ownership, avoiding any compression of the recipient’s freedom to make a will;
- use specific legacies rather than imposing obligations on the heir’s future succession;
- in business settings, consider tools such as the family pact or, where appropriate, wealth-planning structures such as trusts or family holdings;
- always respect the forced-heirship shares due to the entitled heirs.
La regola pratica è semplice: non bisogna mai cercare di imporre all’erede come dovrà fare il proprio testamento.
The practical rule is simple: never try to dictate to the heir how they must make their own will.
Un testamento tecnicamente corretto, anche molto semplice, protegge il patrimonio molto più di una costruzione apparentemente sofisticata ma incompatibile con i principi fondamentali del diritto successorio.
A technically sound will, even a very simple one, protects the estate far more than an apparently sophisticated construction that is incompatible with the fundamental principles of succession law.
